TERMS OF USE

OS | LA Productions LLC, is an audience ticketing/casting company that allows members to create a profile online in order to obtain FREE tickets to TV shows and events (the “Service”). By using OS | LA Productions’ Website you agree to be bound by these Terms of Use (this “Agreement”). If you wish to become a Member, please read these Terms of Use in full and indicate your acceptance by following the instructions in the Registration process. Membership is FREE.   If you do not want to agree to these Terms of Use you must not access or use the Website or use the Service. 

This Agreement sets out the legally binding terms for your use of the Website and your Membership in the Service. This Agreement includes OS | LA Productions’ policy for acceptable use and content posted on the Website, your rights, obligations and restrictions regarding your use of the Website and the Service and Privacy Policy.   OS | LA Productions may modify this Agreement from time to time and such modification shall be effective upon posting on the Website. You agree to be bound to any changes to this Agreement when you use the Service after any such modification is posted.  Your continued use of the Website and the Service following the posting of revised Terms of Use means that you accept and agree to the changes. You are expected to check this page frequently so you are aware of any changes, as they are binding on you.

The personal information you provide to OS | LA Productions will not be shared with anyone except in the limited circumstances provided in our Privacy Policy. Your OSLAproductions.com profile will include the following items: your first and last name, telephone numbers, email address, street address, birth date and photographs posted by you. Your information or photographs may not contain nudity, violence, or offensive subject matter. 

OS | LA Productions reserves the right, in its sole discretion, to reject any account by you, or to restrict, suspend, or terminate your access to all or any part of the Website and/or Services at any time, for any or no reason, with or without prior notice, and without liability. 

By participating in any offline OS | LA Productions event, you agree to release and hold OS | LA Productions harmless from any and all losses, damages, rights, claims, and actions of any kind including, without limitation, personal injuries, death, and property damage, either directly or indirectly related to or arising from your participation in any such offline OS | LA Productions event. 

Membership Eligibility. Membership in the Service is void where prohibited. By using the Website and the Service, you represent and warrant that all registration information you submit is truthful and accurate and you agree to maintain the accuracy of such information. Your profile may be deleted without warning if it is found that you are misrepresenting your information. Your Membership is solely for your personal use, and you shall not authorize others to use your account, including your profile or email address. You are solely responsible for all Content published or displayed through your account.
 

Audience Policy.  Member acknowledges that he/she is NOT an employee of OS | LA Productions, is non-union and agrees that Member is an independent contractor for the time allocated to each show/event. All shows that are paid that you attend are recorded in your account and by our staff to be sent to the IRS for tax purposes. Below are the additional terms between OS | LA Productions and the Member if selected to attend a show/event that is NON–UNION:  
 

1. OS | LA Productions is in the business of providing audiences for television shows/events. Member has agreed to participate as part of the audience/model and/or production coordinator/assistant for the show/event entitled above to be filmed/taped.  
2. OS | LA Productions shall not be liable to Member for any expenses paid or incurred by Member unless otherwise agreed upon in writing by OS | LA Productions.  
3. Member shall supply, at Member’s sole expense, all equipment, tools, materials and/or supplies to accomplish the work agreed to be performed.  
4. Neither, federal or state, nor local income tax, nor payroll tax of any kind shall be withheld or paid by OS | LA Productions of behalf of Member. Member shall NOT be treated as an employee with respect to the services performed hereunder for federal or state tax purposes.  
5. Because Member is engaged in Member’s own independent business, Member is not eligible for, and will not participate in any retirement, health, or other fringe benefit plans of OS | LA Productions or its clients. 
6. Member understands that Member is responsible to pay all taxes on any compensation earned to the extent required by law, and Member further understands that Member maybe be liable for self-employment taxes as required to law.  
7. Member shall not be covered under OS | LA Productions or its clients’ workers compensation insurance.  Member shall comply with workers compensation law requirements of the State in which they perform services.  
8. Member has no authority to enter into contracts or agreements on behalf of OS | LA Productions. Thee Terms of Use do not and are not intended to create any partnership, joint venture or employment relationship between the parties.  
9. Member declares that to the best of his knowledge Member has complied with federal, state and local laws regarding business permits and licenses that may be required to carry out the work to be performed under these Terms of Use. 
10. Each party herein warrants and represents that each have a right and power to enter into and perform these Terms of Use and that neither party has made any prior or consistent commitments or agreements. 
11. The laws of the states in which contractor viewed or attended a show shall govern any questions as to the validity, construction or performance of these Terms of Use. 
12. Member is giving this release in consideration for OS | LA Productions allowing Member to participate in the Programming. Member also agrees that OS | LA Productions or its clients or affiliated production companies may make audio and video recordings (including, without limitation, taking photographs) of Member (including, but not limited to, recording my voice, conversations, quotes, paraphrases, sounds, and any performance of musical composition[s]), and/or relating to you and your personal experiences, biographical data, incidents, situations, actions, reactions and events which heretofore occurred or hereafter occur, based in whole or in part upon, derived in whole or in part from, or otherwise suggested by, your life story, for use in and in connection with the Programming (my “Participation”). 
13. You are solely responsible for your interactions with other OS | LA Productions members. OS | LA Productions reserves the right monitor disputes between you and other members, but has no obligation. 

Copyright Policy. Member may not post, distribute, or reproduce in any way any copyrighted material, trademarks, or other proprietary information without obtaining the prior written consent of the owner of such proprietary rights. It is the policy of OS | LA Productions to terminate Membership privileges of any Member who infringes copyright upon prompt notification to OS | LA Productions by the copyright owner or the copyright owner’s legal agent.  

Trademark Policy.  OS | LA Productions’ name and logo and all related names, logos, product and service names, designs, and slogans are trademarks of OS | LA Productions or its affiliates or licensors. You must not use such marks without the prior written permission of OS | LA Productions.  All other names, logos, product and service names, designs, and slogans on this Website are the trademarks of their respective owners. 

Proprietary Rights in Content. OS | LA Productions owns and retains all proprietary rights in the Website and the Service. The Website contains copyrighted material, trademarks, and other proprietary information of OS | LA Productions and its licensors. Member may not copy, modify, publish, transmit, distribute, perform, display, or sell any such proprietary information.  

Website Prohibited Uses.  You may use the Website only for lawful purposes and in accordance with these Terms of Use. You agree not to: 

• Use the Website in any way that restricts or inhibits anyone's use or enjoyment of the Website, or which, as determined by us, may harm the Company or users of the Website, or expose them to liability. 
• Use the Website in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Website, including their ability to engage in real time activities through the Website. 
• Use any robot, spider, or other automatic device, process, or means to access the Website for any purpose, including monitoring or copying any of the material on the Website. 
• Use any manual process to monitor or copy any of the material on the Website, or for any other purpose not expressly authorized in these Terms of Use, without our prior written consent. 
• Use any device, software, or routine that interferes with the proper working of the Website. 
• Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful. 
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Website, the server on which the Website is stored, or any server, computer, or database connected to the Website. 
• Attack the Website via a denial-of-service attack or a distributed denial-of-service attack. 
• Otherwise attempt to interfere with the proper working of the Website. 

Links from the Website.  If the Website contains links to other sites and resources provided by third parties, these links are provided for your convenience only. We have no control over the contents of those sites or resources, and accept no responsibility for them or for any loss or damage that may arise from your use of them. If you decide to access any of the third-party websites linked to this Website, you do so entirely at your own risk and subject to the terms and conditions of use for such websites. 

Geographic Restrictions.  The owner of the Website is based in the State of California in the United States. We provide this Website for use only by persons located in the United States. We make no claims that the Website or any of its content is accessible or appropriate outside of the United States. Access to the Website may not be legal by certain persons or in certain countries. If you access the Website from outside the United States, you do so on your own initiative and are responsible for compliance with local laws. 

Limitation on Liability. IN NO EVENT SHALL OS | LA Productions BE LIABLE TO MEMBER OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT DAMAGES ARISING FROM MEMBER’S USE OF THE WEB SITE OR THE SERVICE, EVEN IF OS | LA Productions HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OS | LA PRODUCTIONS’ LIABILITY TO MEMBER FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO AMOUNT PAID, IF ANY, BY YOU TO OS | LA PRODUCTIONS FOR THE SERVICE DURING THE TERM OF MEMBERSHIP.  

Disclaimers. OS | LA Productions is not responsible for any incorrect or inaccurate Content posted on the Website or in connection with the Service provided, whether caused by programming associated with or utilized in the Service. OS | LA Productions is not responsible for the conduct, whether online or offline, of any user of the Website or Member of the Service. OS | LA Productions assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, any user or Member communication. OS | LA Productions is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, failure of any email or players due to technical problems or traffic congestion on the Internet or at any Website or combination thereof, including any injury or damage to users and/or Members or to any person’s computer related to or resulting from participation or downloading materials in connection with the Website and/or in connection with the Service. Under no circumstances shall OS | LA Productions be responsible for any loss or damage, including personal injury or death, resulting from use of the Website or the Service or from any Content posted on the Website or transmitted to Members, or any interactions between users of the Website, whether online or offline. The Website and the Service are provided “AS-IS” and OS | LA Productions expressly disclaims any warranty of fitness for a particular purpose or non-infringement. OS | LA Productions cannot guarantee and does not promise any specific results from use of the Website and/or the Service.  

Term/Fees. These Terms of Use shall remain in full force and effect while Member uses the Website, the Service, and/or is a Member. Member may terminate Membership at any time, for any reason by emailing us at tickets@OSLAproductions.com and saying DELETE MY ACCOUNT in the subject line. Make sure to include the name and email used to create the account. Membership is FREE to all Members. However, by using the Service and by becoming a Member, you acknowledge that OS | LA Productions reserves the right to charge for the Service in the future and has the right to terminate a Member’s Membership should Member breach these Terms of Use or fail to pay for the Service as required by this Agreement.   

Indemnity. Member agrees to indemnify and hold OS | LA Productions, its subsidiaries, affiliates, officers, agents, and other partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorney’s fees, made by any third party due to or arising out of your use of the Service in violation of these Terms of Use and/or arising from a breach of this Agreement and/or any breach of Member’s representations and warranties set forth above.  

Governing Law and Jurisdiction.  All matters relating to the Website and these Terms of Use, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of California without giving effect to any choice or conflict of law provision or rule (whether of the State of California or any other jurisdiction).
